Flutter Entertainment & The Stars Group Merge to Form World’s Largest Online Gaming Company

October 2, 2019 was a historic day in the online gaming industry, as two industry giants announced a merger that will create the world's largest virtual gaming company!

Flutter Entertainment (formerly Paddy Power Betfair) and The Stars Group (TSG) (formerly Amaya Inc.) announced that they have agreed to combine their companies to create the world's largest online gaming company, valued at over £10 billion.

According to PokerNews, "The recommended all-share combination will allocate 0. 2253 Flutter Entertainment (Flutter) shares for every The Stars Group (TSG) share, meaning Flutter shareholders will own approximately 54. 64% of the new company and 45. 36% of The Stars Group."

The report further states that after the transaction closes, "Peter Jackson, current CEO of Flutter, will continue at the helm, with TSG CEO Rafi Ashkenazi assuming the role of Chief Operating Officer. Flutter's Chief Financial Officer Jonathan Hill will continue in that role, and Flutter's Gary McGann and TSG's Dvěrz Gadja will become Chairman and Vice Chairman of the new company, respectively."

The proposed merger is expected to be voted on by shareholders in the second quarter of 2020, with the merger expected to close in the third quarter of 2020. If the merger is approved by both companies' shareholders and is in compliance with all necessary regulatory approvals, the combination of the two gaming giants will create a new industry leader in sports betting and gaming, surpassing GVC Holdings, which became the world's largest sports betting and gaming company at the time of its acquisition of online gaming giant Ladbrokes Coral Group PLC in March 2018.

Both of these gaming giants have been a part of the industry for a very long time, so there is quite a history between them. Before we dig deeper into this deal that is about to take the gaming world by storm, here is a quick background of the two companies.

September 11, 2001 – PokerStars is founded by Costa Rican company Rational Enterprises.

July 31, 2012 – PokerStars acquires former competitor Full Tilt Poker in a $731 million deal that settles a civil lawsuit with the Department of Justice while transferring ownership of Full Tilt Poker's assets to PokerStars.

June 12, 201 4-Amaya Inc. agreed to acquire Pokerstars and its parent company for $ 4. 9 billion. The acquisition was completed on August 1, 2014.

August 1, 201 7-Amaya Inc. changed the company name to The Stars Group (TSG) Inc..
